These Terms & Conditions (the “Terms”) govern the agreement between the Local Profy LLC, incorporated under the laws of the United States of America (Delaware), a company with file number 5724993 and registered address at 3422 Old Capitol Trail, STE 700, Wilmington, DE, USA (the “Company”, “We”, “Us”), and the person purchasing a Ticket to attend the LegalSEO Conference organized by the Company (the “Attendee”, “You”, “Your”). The Company and Attendee are known as “Party” separately or “Parties” together.
Upon acquiring a Ticket through the Website, You consent to adhere to and be governed by these Terms. It is essential to carefully review and comprehend these Terms before purchasing a Ticket. If You do not agree to abide by the Terms, You are not authorized to acquire a Ticket and attend the Conference. If You use the Website and purchase the Ticket on behalf of another person or entity, You represent, and We assume, that You are an authorized person by such individual or entity to accept these Terms on such individual’s or entity’s behalf. It is Your responsibility to ensure that the person on whose behalf You purchase the Ticket and who will attend the Conference is aware of these Terms, and by completing the purchase You warrant that You have made the Attendee aware of these Terms and that he/she has accepted them.

For convenience, We use the following terms:
“Website” — website at the following link: https://legalseoconference.com/, where the User has the opportunity to purchase a Ticket.
“User” — any individual accessing and viewing the content and or information provided on the Website.
“Ticket” — a digital or physical document purchased by Attendee on the Website, conferring the right to attend the Conference and access additional privileges, the details of which are specified on the Website.
“Conference” — LegalSEO Conference, an event organized and hosted by the Company or its affiliates. The Conference encompasses all associated activities, sessions, workshops, presentations, and networking events offered during the specified dates and times as outlined on the Website.
“Financial Agent” – a payment system TicketSpace (represented by Webconnex LLC, with offices at 455 Capitol Mall Suite 604, Sacramento, CA 95814 USA (and its affiliates, as applicable)) that organizes acceptance and transfer of funds on behalf of the Company using electronic methods of processing payments for Tickets sold on the Website.
1. Accessibility
1.1. Attendance at the Conference is strictly limited to individuals who have successfully completed the registration process and have purchased a Ticket through the Website.
1.2. Access to the Conference and the acquisition of Tickets are permissible only for individuals who possess full legal capacity and have reached the age of 18 (eighteen) years.
1.3. Whilst in attendance at the Conference, Attendees are obligated to adhere to all pertinent laws and regulations, as well as the provisions stipulated within these Terms.
1.4. Upon registration and Ticket purchase, Attendees are compelled to furnish comprehensive and accurate information. Any omission or inaccuracy in the provided details may result in denial of access to the Conference. Attendees are accountable for notifying the Company of any alterations to this information by utilizing the contact details furnished in the Ticket purchase confirmation or available on the Website.
1.5. The availability of Tickets for the Conference is subject to limitations, as the Company may offer a finite number of Tickets for sale. It is important to note that due to the finite nature of Tickets, not all individuals desiring attendance may be accommodated. The Company retains the discretion to adjust the quantity of available Tickets as deemed necessary.
1.6. Attendees may be required to present a valid Ticket confirming their entitlement to attend the Conference upon entry. Attendees are obligated to retain possession of their Tickets throughout the entirety of the Conference, and the Company retains the right to deny entry or expel Attendees who fail to furnish a Ticket upon request.
1.7. Transfer, sale, or sharing of Tickets by Attendees is strictly prohibited. Attendees may be substituted by other individuals at no additional cost upon providing written notification to the Company, subject to compliance with these Terms, including but not limited to the requirement for substitute individuals to furnish registration details at least 5 (five) business days prior to attending the Conference.
1.8. Attendees are responsible for their own travel, accommodation, and other related expenses incurred in attending the Conference unless otherwise stated in the terms of the Ticket purchase.
2. Types of Tickets
2.1. For attendance at the Conference, the Company offers different types of Tickets, namely “Standard” and “VIP” Tickets. Detailed information regarding the terms and conditions associated with each type of Ticket is readily available on the Website.
2.2. The “Standard” Ticket includes access to standard Conference amenities and sessions, as well as participation in speed networking, which will be held before the date of the Conference. Attendees will also have the opportunity to engage in roundtable Q&A discussions following each talk and enjoy complimentary drinks and snacks at the after-party.
2.3. The “VIP” Ticket provides all the benefits of the “Standard” Ticket, with additional privileges. “VIP” Ticket holders will enjoy front row seating during Conference sessions and access to a private dinner with speakers, where they can connect one-on-one and indulge in a meal prepared by a renowned chef. Additionally, “VIP” Ticket holders will receive private car transfer to the dinner venue for added convenience.
2.4. Attendees are encouraged to carefully review the features and benefits associated with each type of Ticket before making a purchase to select the option that best aligns with their preferences and objectives for attending the Conference. Additional terms and conditions may apply, as outlined on the Company’s website.
2.5. The Company reserves the right to introduce additional types of Tickets or modify the existing types, as well as adjust the associated terms and conditions, at its discretion. Any such changes will be communicated to prospective Attendees via the Website and other means of communication with the Attendee, which were provided by the latter when purchasing the Ticket.
2.6. In the event that the terms and conditions specified for each type of Ticket on the Website differ from those outlined in these Terms, the conditions stated on the Website shall prevail.
3. Prices
3.1. All prices are stated in United States Dollars (USD) unless otherwise specified. Your purchase price may comprise the cost of the Ticket plus fees charged by financial institutions, payment service providers, Financial Agent, and any applicable taxes as per the prevailing rates at the time of purchase. The final cost of the Tariff is contingent upon the chosen payment method and will be presented to You after selecting a payment method, as indicated in the User sales receipt.
3.2. The Company reserves the right to change the Ticket prices at any time. However, any changes will not affect Tickets that have already been purchased. Consequently, Users are advised to verify Ticket costs prior to finalizing their purchase.
3.3. The price of the Ticket shall be paid in full without any set-off, counterclaim, deduction, or withholding (other than as may be required by law).
3.4. Prices for Tickets are exclusive of any travel or other related costs and expenses You may incur in attending the Conference. It is each Attendee’s sole responsibility to take care of visa and travel requirements. If You require an entry visa, You must allow sufficient time for the visa application procedure.
3.5. Prices for Tickets may include hospitality services, such as food and drinks, provided by a third-party contractor to all Attendees. However, the availability of these services may vary and may be subject to limitations specific to certain types of Tickets.
4. Payment terms
4.1. The payment of the applicable fee(s) for the Ticket(s) is due upon registration for the Conference.
4.2. The purchase of Tickets is conducted online by completing the necessary payment form, which the User can access by clicking on buttons such as “RESERVE MY SPOT”, “GET MY TICKET”, “GET THE VIP EXPERIENCE”, or similar content buttons.
4.3. The Company utilizes the services of a Financial Agent to facilitate payment authentication when purchasing a Ticket. The procedural guidelines governing payment through the Financial Agent’s electronic payment system are subject to the rules established by the Financial Agent. Users are advised to review the terms and conditions as well as the privacy policies of the applicable Financial Agent to understand their terms of service.
4.4. To acquire a Ticket, a User may utilize permitted payment methods offered by the Financial Agent.
4.5. By initiating the purchase process, Users confirm their understanding and acceptance of the responsibilities associated with payment authorization, and agree to adhere to the specified terms and conditions. Users explicitly assert and warrant that their use of a debit / credit card or other payment method is duly authorized. Furthermore, Users affirm that all submitted information is accurate and true. Users agree to bear the responsibility for paying all fees incurred during the purchase transaction, including but not limited to bank commissions and/or commissions charged by the Financial Agent.
4.6. Attendees are responsible for any additional fees or charges associated with their chosen method of payment, such as transaction fees or currency conversion charges. If there is an obligation to withhold taxes under applicable laws, the Company’s designated Financial Agent will withhold such taxes accordingly. Attendees are responsible for any tax obligations arising from their Ticket purchase.
4.7. Once a successful Ticket transaction has been completed, Tickets are delivered in electronic soft-copy via email to the email address nominated by the Attendee. The Ticket acts as a receipt for the transaction and can be used to gain entry to the Conference listed on the Ticket.
5. Cancellation and refund policy
5.1. All sales of Tickets to the Conference are considered final, and refunds are generally not provided. However, Attendees have the right to request a full refund of the purchased Ticket price under the following conditions:
5.1.1. The Attendee submits a refund request to the Company at least 1 (one) calendar month prior to the scheduled Conference date, specifically before 6 November 2024.
5.1.2. Requests for refunds made after 6 November 2024 may not be honored, and the Company reserves the right to refuse any refund requests received thereafter.
5.2. Refund requests must be submitted in writing to the Company’s designated contact email: [email protected].
5.3. A request for a refund must include the following information:
- Full name and contact details of the Attendee making the request.
- Confirmation of the Ticket purchase, including the Ticket type and transaction details, if available.
- The reason for the refund request.
- Bank details for refund.
5.4. Failure to provide the required information may result in a delay or denial of the refund request. Attendees are encouraged to ensure that all requested information is accurately provided to expedite the refund process.
5.5. If deemed necessary by the Company, it reserves the right to request additional information or documentation to support the refund request. Attendees are obligated to provide any requested information promptly and accurately to facilitate the review process.
5.6. The Company will process refund requests within a reasonable timeframe upon receipt of the relevant request, subject to the conditions outlined in the Terms. While the Company endeavors to process refunds promptly, the exact timeline may vary depending on factors such as the volume of refund requests and processing times of financial institutions.
5.7. Refunds will be processed to the original payment method used for the Ticket purchase, unless otherwise agreed upon with the Attendee. If an alternative refund method is requested and approved by the Company, the Attendee must provide necessary details to facilitate the refund accordingly.
5.8. Attendees are responsible for any fees or charges incurred in connection with the refund process, including but not limited to transaction fees or currency conversion charges.
5.9. In the event that the deadline specified in clause 5.1.1 expires, resulting in the impossibility of obtaining a refund, or in other circumstances where the Attendee is unable to attend the Conference, the Attendee has the right to nominate a substitute to attend the Conference on his / her behalf, subject to clause 1.7 and the substitute’s agreement and compliance with these Terms.
6. Conference cancellation or modification
6.1. The Company reserves the right to cancel, reschedule, or modify the Conference, in whole or in part, at its sole discretion, including but not limited to circumstances such as unforeseen events, natural disasters, government regulations, etc.
6.2. The Company retains the unilateral authority to alter various aspects of the Conference program at any juncture, without prior notice, including but not limited to:
6.2.1. Modifying the roster of invited speakers, including additions, substitutions, or removals of speakers, based on factors such as speaker availability, scheduling conflicts, or unforeseen circumstances.
6.2.2. Adjusting the topics or themes of presentations or workshops to better align with the Conference objectives, Attendee interests, or emerging trends in the relevant industry or field.
6.2.3. Revising the sequence or timing of speaker presentations, panel discussions, breakout sessions, networking activities, or any other scheduled events within the Conference agenda.
6.2.4. Amending logistical arrangements, such as venue locations, seating arrangements, catering services, or audiovisual equipment setups, to optimize the Conference experience for Attendees and ensure smooth event operations.
6.2.5. Updating promotional materials, event schedules, or informational resources related to the Conference to reflect any changes or adjustments made to the program content or logistics.
6.3. The Company reserves the right to implement such modifications to the Conference program as deemed necessary to enhance the overall quality, relevance, and effectiveness of the event, while also acknowledging the dynamic nature of event planning and management.
6.4. In the event of any modifications to the Conference program, the Company will make reasonable efforts to inform registered Attendees in advance via email or other appropriate communication channels. However, the Company shall not be held liable for any failure to notify Attendees due to circumstances beyond its control.
6.5. In the event of Conference cancellation or postponement, Attendees retain the option to request a refund of the Ticket price paid. However, in the case of Conference postponement, Attendees are also entitled to choose the alternative option of transferring their Tickets to the rescheduled Conference date. To facilitate the transfer of Tickets to the rescheduled Conference, Attendees must notify the Company of their preference. The Company will provide instructions for requesting Ticket transfers through its designated communication channels.
6.6. The procedure for contacting the Company regarding refund in the event of Conference cancellation or postponement is similar to that outlined in clause 5.3. In this context, Attendees seeking refund due to the cancellation or postponement of the Conference are required to initiate contact with the Company through specified channels. This involves submitting a formal request for a refund, which should include pertinent details such as the Attendee’s full name, contact information, the date of Ticket purchase, and any relevant order references.
6.7. In the unlikely event of cancellation of a Conference, Our total aggregate liability to You is limited to the refund of paid fees that remain after credit card and payment processing fees have been incurred and deducted, and We will not be liable to You for any expenditure, damage or loss incurred by You as a result of the cancellation.
7. Code of Conduct
7.1. The Company is committed to providing a safe, inclusive, and respectful environment for all Attendees at the Conference. As such, all Attendees are expected to adhere to the following Code of Conduct:
7.1.1. Respect: treat all fellow Attendees, speakers, organizers, and staff with respect and courtesy. Harassment, discrimination, or intimidation of any form will not be tolerated.
7.1.2. Inclusivity: embrace diversity and inclusivity by welcoming individuals of all backgrounds, identities, and perspectives. Discrimination based on race, ethnicity, gender, sexual orientation, disability, religion, or any other characteristic is strictly prohibited.
7.1.3. Professionalism: conduct Yourself in a professional manner at all times. Refrain from engaging in disruptive behavior, including but not limited to excessive noise, aggressive language, or inappropriate physical contact.
7.1.4. Compliance: adhere to all applicable laws, regulations, and policies, both within the Conference venue and in any associated communications. Failure to comply with legal requirements or Conference Terms may result in expulsion from the Conference.
7.1.5. Confidentiality: respect the confidentiality of any sensitive information shared during presentations, discussions, or networking sessions. Obtain consent before sharing or disseminating any confidential or proprietary information.
7.1.6. Safety: prioritize the safety and well-being of Yourself and others. Report any concerns or incidents of misconduct to Conference staff or organizers promptly.
7.1.7. Compliance with venue rules: abide by the rules and regulations of the Conference venue, including but not limited to smoking policies, food and beverage restrictions, and occupancy limits.
7.1.8. Cooperation: cooperate fully with Conference staff, organizers, and security personnel in the event of emergencies, evacuations, or other unforeseen circumstances.
7.1.9. Mutual respect: foster an environment of mutual respect where all Attendees feel valued and heard. Encourage constructive dialogue and exchange of ideas, while refraining from personal attacks or demeaning language.
7.1.10. Informed consent: obtain explicit consent before photographing, recording, or sharing personal information about other Attendees. Respect individuals’ privacy preferences and refrain from intrusive or unwanted interactions.
7.1.11. Alcohol and substance use: consume alcohol responsibly, if permitted at the Conference venue. Refrain from excessive or disruptive drinking that may impair judgment or contribute to unsafe behavior. The use of illegal drugs or substances is strictly prohibited.
7.1.12. Zero tolerance for harassment: the Company maintains a zero-tolerance policy towards harassment in any form, including but not limited to verbal, physical, or sexual harassment. Harassment of any kind will result in immediate removal from the Conference and may be subject to legal action.
7.1.13. Educational environment: recognize the Conference as an educational and professional forum intended for learning and collaboration. Refrain from engaging in activities or behaviors that detract from the educational objectives or disrupt the learning experience of others.
7.1.14. Upholding reputation: recognize that individual actions reflect on the reputation of the Conference and the broader professional community. Conduct oneself in a manner that upholds the integrity and positive image of the Conference and its stakeholders.
7.1.15. Conflict resolution: in the event of disagreements or conflicts between Attendees, prioritize open communication and constructive resolution. Attempt to resolve conflicts amicably and respectfully, seeking assistance from Conference staff if necessary. 7.1.16. Cultivate diversity: celebrate and promote diversity in all its forms, including diversity of thought, background, culture, and perspective. Embrace opportunities for cross-cultural exchange and learning, fostering an inclusive environment where everyone feels valued and respected.
7.1.17. Enforcement: violations of this Code of Conduct may result in disciplinary action, up to and including expulsion from the Conference, without refund. The Company reserves the right to take appropriate measures to address breaches of conduct, as determined in its sole discretion.
7.1.18. Reporting: any Attendee who experiences or witnesses behavior that violates this Code of Conduct is encouraged to report it to Conference staff or organizers immediately. Reports will be handled confidentially and with sensitivity, and appropriate action will be taken to address the situation.
7.1.19. Personal belongings: Attendees are solely responsible for the security and safekeeping of their personal belongings during the Conference. The Company and venue staff are not liable for any loss, theft, or damage to personal property brought onto the premises by Attendees.
7.2. Under the terms and conditions of Conference attendance, the following behaviors are strictly prohibited:
7.2.1. Harassment: any form of harassment, including verbal, physical, or sexual harassment, is strictly prohibited. This includes but is not limited to unwelcome advances, comments, or gestures that create an intimidating, hostile, or offensive environment for others.
7.2.2. Discrimination: discriminatory actions or remarks based on race, ethnicity, gender, sexual orientation, religion, disability, or any other characteristic are strictly prohibited. This includes, but is not limited to, actions that undermine the dignity or equality of individuals or groups.
7.2.3. Violence: any acts of violence, threats of violence, or aggressive behavior towards others are strictly prohibited. This includes but is not limited to physical assaults, verbal threats, or intimidation tactics intended to harm or intimidate others.
7.2.4. Privacy violations: unauthorized recording, photographing, or sharing of personal information without consent is strictly prohibited.
7.2.5. Illegal activities: engaging in any illegal activities during the Conference is strictly prohibited. This includes but is not limited to the possession, distribution, or use of illegal substances, as well as any other unlawful behavior.
7.2.6. Disruption: disruptive behavior that interferes with the Conference proceedings or disrupts the experience of others is strictly prohibited. This includes but is not limited to excessive noise, unruly behavior, or any actions that undermine the orderly conduct of the conference.
7.2.7. Unprofessional conduct: unprofessional behavior, including but not limited to disrespectful behavior towards others, use of offensive language, or any conduct that detracts from the professional atmosphere of the conference, is strictly prohibited.
7.2.8. Unauthorized solicitation: unauthorized solicitation or distribution of promotional materials, flyers, or any other forms of advertising is strictly prohibited within the Conference venue without prior approval from the Company.
7.2.9. Misuse of Conference materials: misuse or unauthorized distribution of Conference materials, including presentations, handouts, or any other intellectual property, is strictly prohibited. Attendees must respect the copyrights and intellectual property rights of Conference presenters and organizers.
7.2.10. Inappropriate attire: Attendees are expected to dress appropriately for the conference environment. Any attire that is overly revealing, offensive, or otherwise inappropriate for a professional setting is strictly prohibited.
7.2.11. Property damage: any intentional or reckless damage to Conference property, including venue facilities, equipment, or materials, is strictly prohibited. Attendees are responsible for maintaining the integrity of Conference property and must refrain from any actions that could result in damage or loss.
7.2.12. Theft or unauthorized removal: theft or unauthorized removal of Conference property, including materials, equipment, or supplies, is strictly prohibited.
7.2.13. Prohibited items: the possession or use of prohibited items, including weapons, explosives, illegal substances, or any other hazardous materials, is strictly prohibited at the Conference venue. Attendees must comply with all security protocols to ensure a safe environment for all Attendees.
7.3. Unacceptable behavior will not be tolerated and could result in debarment from the Conference. If an Attendee is seen engaging in unacceptable behavior, the Company may take any action it deems appropriate, up to and including expulsion from the Conference without warning or refund. If appropriate, local law enforcement may get involved.
7.4. By attending the Conference, all Attendees acknowledge and agree to abide by this Code of Conduct. Failure to comply with these guidelines may result in consequences as outlined herein.
8. Filming and sound recording
8.1. The Company may impose certain restrictions on the use of multimedia at the Conference. This includes photography, video recording, audio recording, online streaming, and any other future mediums.
8.2. Attendees are permitted to use handheld cameras and/or smartphones for personal, non-commercial photography purposes, provided that such activities are not disruptive to the Conference. Such recordings must be brief and limited in scope, capturing only snippets or highlights of the Conference experience. Attendees are strictly prohibited from recording full sessions or presentations in their entirety. Any recordings made may be shared on social media platforms, provided they adhere to the terms and conditions outlined herein. Photographs and recordings taken may not be sold, reproduced, distributed, or commercially exploited in any manner.
8.3. Professional service providers may be hired by the Company to document and showcase the event experience through various mediums such as photography, and audio recording. Additionally, social media platforms may be utilized to share real-time photos and videos.
8.4. Attendees are encouraged to capture and share their event experiences on social media platforms, including text, photos, audio, video content. However, it is essential to ensure that such content does not infringe upon the rights of any Attendee, speaker, third party, or the Company themselves. This includes avoiding defamation or infringement of intellectual property rights. If an Attendee requires a release or permission to protect the rights of a third party, obtaining such authorization is their sole responsibility.
8.5. By attending the Conference an Attendee acknowledges and agrees to grant the Company the right to record, videotape, photograph or capture his / her likeness in any media now available and hereafter developed and to distribute, broadcast, publish, exhibit, display, use or otherwise globally reproduce or disseminate, in perpetuity, such media without any further approval from the Attendee or any payment to Attendee. This grant to Company includes, but is not limited to, the right to edit such media, the right to use the media alone or together with other information, and the right to allow others to use and/or disseminate the media in any manner or media whatsoever including without limitation for the purposes of promoting, advertising, or publicizing the Conference, Company, and/or Our products and services.
9. Intellectual property
9.1. All intellectual property rights in and to the Conference, the Conference content and all materials distributed at or in connection with the Conference, including but not limited to presentations, materials, handouts, slides, logos, trademarks, and any other proprietary information, are owned by the Company and/or the Conference speakers or companies presenting at the Conference, and You shall not acquire any rights in such Conference materials, including any developments or variations of them. Nothing in these Terms grants You any intellectual property rights in the Conference content and/or materials. All such intellectual property rights shall remain the exclusive property of the Company and/or the Conference speakers or companies presenting at the Conference.
9.2. Attendees acknowledge and agree that any intellectual property shared, presented, or provided during the Conference is protected by copyright, trademark, or other intellectual property laws.
9.3. Attendees are granted a limited, non-exclusive, revocable, non-transferable license to use the Conference materials and information solely for personal, non-commercial purposes related to their attendance at the Conference. This license does not grant Attendees any ownership rights or rights to modify, reproduce, distribute, or create derivative works based on the Conference materials without the prior written consent of the Company or the respective rights holders. All materials must in any event be preserved to retain all copyright, confidential and other proprietary and legal notices, legends, and watermarks therein contained.
9.4. Any inquiries or requests regarding the use of Conference materials or intellectual property objects should be directed to the Company for consideration and approval. The Company reserves the right to deny or restrict the use of Conference materials or intellectual property objects at its discretion.
9.5. Attendees agree to provide appropriate attribution and acknowledgment to the Company and/or the respective rights holders for any authorized use of Conference materials. This includes acknowledging the source of materials used and attributing any contributions made by speakers, presenters, or other Attendees.
9.6. The Conference materials is provided only for general information and does not address any individual needs. The information provided does not constitute advice, recommendations, representations, or endorsements on which You should rely. You should obtain professional or specialist advice before taking, or refraining from taking, any action based on any Conference materials or information.
10. Warranties
10.1. The Conference will be conducted on an “AS IS”, “AS AVAILABLE”, “AS EXISTING” basis. The Company gives no warranties in respect of any aspect of the Conference, any content and/or materials related thereto or offered at the Conference and, to the fullest extent possible under the laws governing these Terms, disclaims all implied warranties, including but not limited to warranties of fitness for a particular purpose, accuracy, timeliness, and merchantability. Nevertheless, the Company will exert its best efforts and implement all reasonably possible organizational and technical measures to ensure the proper conduct of the Conference.
10.2. The Company makes no warranty that: (1) the Conference, Conference venue, speeches of invited speakers meet or will meet the requirements and expectations of the Attendee; (2) the data provided by the Company’s representatives and third parties are accurate, complete, of high quality and/or appropriate for their intended use; (3) the materials and content of the Conference will not contain any mistakes, deletions, typographical errors or other defects; (4) the Conference will be conducted without any delays and/or hiccups; (5) the Attendee will achieve specific networking or interaction goals during the Conference, and the quality or outcome of interactions with other Attendees, speakers will be appropriate; (6) the quality of audiovisual presentations or any technical aspects of the Conference will be flawless; (7) everyone will be able to purchase a Ticket due to their limited quantity.
10.3. Except as set out in these Terms, to the fullest extent permitted by law, the Company excludes all conditions, terms, representations, and warranties relating to the Conference and any Ticket, whether imposed by statute or by the operation of law or otherwise, that are not expressly stated herein.
11. Liability. Limitation of liability
11.1. The Company and the Attendee shall be responsible for fulfilling their obligations under the Terms in accordance with the current legislation of State of Delaware, United States.
11.2. The Conference offers the opportunity for various types of speakers and presenters to present their services, and otherwise to communicate their thoughts and opinions to the Attendee. You acknowledge and agree that any opinions / views expressed by speakers and/or presenters at the Conference are solely their own. Therefore, the Company shall not be held liable for any advice given, views expressed, acts, or omissions of a speaker or presenter at, or otherwise in connection with, the Conference.
11.3. To the fullest extent permitted by applicable law, the Company shall not be liable for (1) the quality, performance, or any issues related to services provided by third parties, (2) loss, theft, or damage to personal belongings or valuables during the Conference, including items left in Conference venues, or any designated spaces, (3) the accuracy, completeness, or suitability of information provided by the Company’s representatives or third parties, including speakers or presenters, (4) changes in the Conference schedule, format, structure, or content without prior notice, (5) technical issues, disruptions, or interruptions, including those related to audiovisual presentations, or any technological aspects of the Conference, (6) Attendees’ individual satisfaction with Conference content, topics, or speakers, (7) any legal consequences or issues arising from Attendees’ failure to comply with local laws, regulations, or Code of Conduct during the Conference, (8) changes, cancellations, or unforeseen circumstances affecting the availability or participation of scheduled speakers or presenters, (9) delays, disruptions, or issues related to public transportation, as well as any problems arising from Attendees’ travel arrangements to and from the Conference venue, (10) any consequences arising from the actions, behavior, or interactions of individual Attendees during the Conference, (11) security breaches, data loss, or unauthorized access to personal data due to issues related to internet security or technological vulnerabilities, (12) limitations or issues related to the Conference venue, including capacity constraints, facilities, or unforeseen challenges affecting the Conference’s execution.
11.4. Other than to the extent required as a matter of law, neither the Company nor its affiliates shall be liable for any direct, indirect, special, incidental, or consequential costs, damages, or losses arising directly or indirectly from the Conference or other aspect related thereto or in connection with these Terms.
11.5. The maximum aggregate liability of the Company for any claim in any way connected with therewith or these Terms whether in contract, tort or otherwise (including any negligent act or omission) shall be limited to the amount paid by the Attendee to the Company under these Terms to attend the Conference.
11.6. The Company will not be held liable for any delays or issues related to the refund process if incorrect or incomplete payment information is provided by the Attendee. It is the Attendee’s responsibility to ensure the accuracy of the provided payment details.
11.7. The Attendee acknowledges and agrees that he/she is solely responsible for legal and financial liability for all related to the purchase of the Ticket and attendance at the Conference, and he/she understands the nature of the Conference. The Attendee attends the Conference at his/her sole discretion and risk, and hereby the Attendee assumes all potential risks and liabilities associated with the Conference.
12. Force majeure
12.1. The Company will not be liable or responsible for any failure to perform, or delay in performance of, any of its obligations under the Terms that is caused by force majeure circumstances, such as civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war or hostilities, earthquake, flood, fire, and other natural disasters, power outages or Internet interruptions, hardware and/or software malfunctions, virus attacks, actions of public authorities, or any other circumstances beyond Our control.
12.2. For the avoidance of doubt, force majeure circumstances may affect the Company’s ability to organize and conduct the Conference, as well as the ability of speakers and Attendees to attend the Conference. In these circumstances, please check the Website for any relevant information, and check Your emails for any other information.
12.3. If a force majeure circumstance takes place that affects the performance of Our obligations under the Terms:
(a) We may contact You as soon as reasonably possible to notify You; and
(b) the Company shall use its reasonable endeavors to mitigate the impact of the force majeure event.
12.4. In the event of a force majeure circumstance that prevents the Conference from taking place on the scheduled date, the Company reserves the right to either postpone the Conference to a later date or cancel the Conference entirely. The decision to postpone or cancel the Conference will be communicated to You as soon as reasonably possible following the occurrence of the force majeure event. In such a case, the provisions of section 6 of the Terms shall apply.
12.5. Without prejudice to the Company’s obligation to refund any Ticket price to Attendee, the Company accepts no liability and shall pay no compensation where the performance of its obligations is made impracticable, illegal, or impossible by or as a result of force majeure.
13. Electronic communications
13.1. By accepting these Terms and providing Your contact information, You expressly consent to receive electronic communications from Us regarding the Conference. These communications may include, but are not limited to, emails, newsletters, notifications, and other electronic correspondence.
13.2. We may use electronic communication channels to convey important information related to various aspects of the Conference, including registration details, Ticket purchase confirmations, event updates, scheduling changes, speaker announcements, and other relevant notices.
13.3. We will endeavor to ensure that electronic communications sent to You are relevant and necessary for Your participation in the conference. However, You acknowledge that the frequency and content of electronic communications may vary depending on the circumstances and requirements of the Conference.
13.4. While We strive to maintain uninterrupted access to electronic communications, You acknowledge that factors beyond Our control, such as technical issues or internet connectivity problems, may occasionally disrupt or delay the delivery of electronic communications. We disclaim any liability for such interruptions or delays.
13.5. We endeavor to respect Your communication preferences. If You wish to update Your contact information or communication preferences, please notify Us accordingly, and We will make reasonable efforts to accommodate Your request.
14. Personal data protection
14.1. The Company is committed to data privacy and protecting Your personal data. We will handle Your personal data in compliance with relevant data protection laws. By providing the personal data during the registration and purchase of the Ticket, and consenting to the terms outlined in the Terms, You hereby agree to the processing of Your personal data by the Company. We process this information to fulfill the offer You have made and to facilitate Your attendance at the Conference in an appropriate manner.
14.2. We will use Your data for administration, communication, and research only relating to the Conference, in particular, but not limited to, to provide information about the Conference’s content, Conference logistics, updates, and additional information related to the Conference.
14.3. The Company may share Your personal data to third party service providers engaged by the Company to assist in the conduct of the Conference. Except as described herein, the Company will not disclose Your personal data to any other third party without Your consent, except where required to do so by law.
14.4. We are committed to protecting Your personal data and privacy in accordance with applicable data protection laws. Any collection, use, or disclosure of Your personal data will be handled in accordance with Our Privacy Policy.
15. Dispute resolution
15.1. All disputes and differences that may arise in the course of performance of the Terms or in connection therewith shall be resolved through negotiations in good faith. All claims shall be considered by the Company in writing and sent to the Company’s e-mail address, namely: [email protected], within 30 (thirty) days from the date of sending the letter by the User and/or Attendee.
15.2. If the Parties fail to settle disputes by negotiations, all disputes, controversy, or claims regarding any issues arising out of or related to these Terms shall be resolved in accordance with the current legislation of the USA (Delaware).
15.3. These Terms and all matters and disputes arising out of or relating to these Terms, whether in contract, tort, by statute or otherwise, are governed by, and construed in accordance with, the laws of the State of Delaware, United States without giving effect to the conflict of law provisions.
16. Term & termination
16.1. Term. These Terms shall commence upon Your acceptance thereof, which occurs upon the purchase of a Ticket, and shall remain in effect for the duration of Your attendance at the Conference, including any pre-Conference activities or post-Conference obligations.
16.2. Termination by Attendee.
16.2.1. The Attendee has the right to terminate these Terms by submitting a request for Ticket cancellation and refund in accordance with the provisions outlined in Section 5.
16.2.2. Should the Attendee opt to transfer the Ticket and associated attendance rights to another party, the contractual agreement under these Terms ceases with the initial Attendee and commences anew with the new recipient.
16.2.3. If the Conference is canceled by the Company and the Attendee does not agree to transfer the Ticket to another rescheduled Conference, or if no such rescheduled Conference is available, then the relationship between the Parties under the Terms shall be terminated upon the Attendee’s receipt of the refund.
16.3. Termination by Company. The Company reserves the unequivocal right to terminate these Terms and the Attendee’s access to the Conference under the following circumstances:
(a) Breach of Terms: in the event of a material breach of any provision outlined in these Terms by the Attendee, the Company retains the authority to terminate the Terms. Such breaches include but are not limited to non-compliance with payment obligations, unauthorized dissemination of Conference materials, or violation the intellectual property rights.
(b) Misconduct: the Company may also terminate these Terms and the Attendee’s participation in the Conference due to misconduct or inappropriate behavior exhibited by the Attendee. This encompasses actions that disrupt the proceedings of the Conference, engage in harassment, discrimination, or any conduct deemed unacceptable by the Company in accordance with the Terms.
The Company reserves the right to terminate without providing reasons. Upon termination, the Attendee’s rights to access Conference-related materials and services shall cease immediately.
16.4 Effect of termination. Upon termination of these Terms, whether by You or by Us, Your rights to attend the Conference and access Conference-related materials and services shall cease immediately.
16.5. No refund upon termination. If these Terms are terminated by Us due to Your breach or violation of the Terms, You shall not be entitled to any refund or compensation for any fees paid for attending the Conference or purchasing conference-related materials or services.
16.6. Reservation of rights. Termination of these Terms shall not prejudice or affect any rights, remedies, or claims that We may have against You arising out of or in connection with Your breach of these Terms or any other misconduct or violation of applicable laws or regulations.
17. Miscellaneous
17.1. Severability. If any provision of the Terms is at any time held by any jurisdiction to be void, invalid, or unenforceable, then it shall be treated as changed, reduced or eliminated, only to the extent minimally necessary to bring it within the laws of that jurisdiction and to prevent it from being void, and the remainder of the Terms shall continue in full force and effect. Subject to that, each provision shall be interpreted as severable and shall not in any way affect any other of these terms.
17.2. No waiver. A delay in exercising, or failure to exercise, any right or remedy in connection with these Terms shall not operate as a waiver of that right or remedy. The waiver of a right to require compliance with any provision of these Terms in any instance shall not operate as a waiver of any further exercise or enforcement of that right. The waiver of any breach shall not operate as a waiver of any subsequent breach. No waiver in connection with these Terms shall, in any event, be effective unless it is in writing and refers expressly to this clause.
17.3. Entire agreement. These Terms constitute the entire agreement and understanding between You and the Company relating to attendance at the Conference and supersedes all prior or contemporaneous communications, agreements and understandings, written or oral, with respect to the subject hereof, and prevails over any conflicting or additional terms of any order, acknowledgment, or similar communication between the Attendee and the Company.
17.4. Changes to the Terms. The Company reserves the right to amend these Terms at any time and for any reason by posting a new version of the Terms. Please review the Terms from time to time to be aware of any changes or additions. The Company has no obligation to directly notify You of changes to these Terms. By purchasing a Ticket and/or attending the Conference after the Company has posted modifications to these Terms, You expressly agree to be bound by the modified Terms. It is Your responsibility to check the Website regularly for modifications to these Terms.
17.5. Assignment. The Company reserves the right to assign or delegate these Terms, in whole or in part, to any person or entity at any time, with or without the User’s and/or Attendee’s consent. The User and/or Attendee may not assign or delegate any rights or obligations under the Terms without Company’s prior written consent.
